<h1>Terms of Use</h1>
<p><strong>Last updated: 28 September 2026 (version 2026-09-28).</strong> SyncNet is experimental, non-custodial software on Robinhood Chain. You can use it to explore projects, launch tokens through PAR, record who operates a project (the Project Passport), transfer operational control in the Project Marketplace and publish an optional Project Home. By using SyncNet you agree to these terms.</p>
<h2>Non-custodial software and transactions</h2>
<p>SyncNet does not custody private keys or seed phrases, and never holds, escrows or forwards your funds. Every transaction is approved in your own wallet. Blockchain transactions are irreversible. A token launch is requested only after a live preflight, a signed intent, a final review, an explicit confirmation and your wallet’s approval; a successful PAR launch is tradable immediately. A simulation does not deploy a token.</p>
<p>“Syncing” a project means selecting one or more assets to form market relationships around that project. A market relationship does not imply endorsement, partnership, ownership or official affiliation between creators or token teams.</p>
<p>SyncNet does not guarantee token value, liquidity, fee distributions, rewards, returns, users, holders, community growth or continued availability of any third-party service.</p>
<h2>Registry labels</h2>
<p>Registry labels say what was checked: “BUILT WITH SYNCNET · VERIFIED” means a launch proof was verified against the chain when the page loaded; other labels (SYNCNET ORIGIN, OPERATOR VERIFIED, PAR INDEXED, PROFILE ONLY, UNVERIFIED) are defined on the Registry page. No label is a quality, safety or endorsement signal.</p>
<h2>Project Passport and Project Marketplace</h2>
<p>The Project Passport is SyncNet’s record of a project’s recognised operator. It is operational control inside SyncNet, not ownership of the token contract. The Project Marketplace records signed listings, offers, operator transfers and deal settlement checklists on SyncNet’s backend; every record is authenticated by a free wallet signature, never a transaction or token approval. It is non-custodial and provides no payment guarantee. A completed deal transfers the Project Passport and only the items the listing explicitly names. Token contracts, token supply, locked PAR liquidity and immutable token metadata are never sold and never move. Creator-fee rights move only through the launchpad’s own on-chain transfer, sent from the seller’s wallet and verified by re-reading the chain. ETH payments are checked on-chain; payments in other currencies and off-chain items (domains, repositories, community administration) are settled directly between the parties and must be confirmed by both — SyncNet cannot verify or enforce them, and X accounts are never represented as transferable. Operator history is append-only and prior operators remain permanently visible.</p>
<h2>Project Home</h2>
<p>A Project Home is an optional page for a project, hosted by SyncNet at <code>/site/<token></code>. It is a “Project Home on SyncNet”. It must not be described or presented as a project’s “official website”, and it does not make SyncNet a party to, or a representative of, the project.</p>
<p><strong>Activation.</strong> Publishing a Project Home needs a one-time activation of the project: a paid activation or, while SyncNet offers it, a free-beta activation.</p>
<p><strong>Paid activation.</strong> When paid activation is enabled, Project Home activation is priced at USD 12 equivalent in SYNC. The SYNC amount is set by the SyncNet reference rate, which SyncNet’s server derives from the canonical PAR SYNC/USDG market when a quote is requested; it is SyncNet’s own reference, not an on-chain price feed. The amount is locked into a quote that is valid for 30 minutes, and only the exact quoted amount, sent to the Project Home payment contract within that time, activates the project. Payments that are late, duplicated, sent in the wrong amount, or otherwise do not match a valid activation quote may not activate a Project Home and are not automatically refundable. That contract is immutable: 60% of each payment is burned and 40% is converted to USDG for the SyncNet protocol treasury.</p>
<p><strong>No refunds.</strong> A successful paid activation is one-time and non-refundable. The payment contracts have no refund mechanism.</p>
<p><strong>Free beta.</strong> SyncNet may temporarily offer Project Home activation at no charge. During a free beta, the current Project Passport operator’s first publication activates the project; no payment is required and none is taken. A free-beta activation belongs to the project (the token) and may remain valid after the beta ends. A free beta does not guarantee that SyncNet will operate the service permanently.</p>
<p><strong>Terms version and acceptance.</strong> Requesting a paid activation quote needs a free wallet signature. It records which version of these terms (shown at the top of this page) applies to the activation and does not send a payment. You accept these terms explicitly by ticking the confirmation box on the final payment review, before you pay. SyncNet keeps the signature with the quote and the activation record, and the receipt shows the recorded terms version.</p>
<p><strong>Entitlement.</strong> An activation, paid or free beta, belongs to the project (the token), not to the wallet that paid or published or to any person. It stays with the project when the Project Passport changes hands.</p>
<p><strong>Control.</strong> Only the current Project Passport operator can publish, edit, unpublish, republish, restore or adopt the Project Home, each time with a free wallet signature. A Passport transfer transfers this control. Content published by a previous operator is shown with its links disabled until the new operator adopts it. Edits, unpublishing, republishing, restoring and adoption never require another activation fee.</p>
<p><strong>Duration.</strong> Activation does not guarantee permanent hosting. A Project Home remains available for as long as SyncNet operates the Project Home service, subject to these terms.</p>
<p><strong>Operator content.</strong> The text, links and images on a Project Home are supplied and controlled by the Project Passport operator. SyncNet does not author, endorse, verify the truth of or guarantee them. Token facts shown on the page are read from Robinhood Chain.</p>
<h2>Acceptable use</h2>
<p>These rules apply to everything you submit or publish through SyncNet: token names, tickers, metadata and images, Project Home content and links, Marketplace listings and any other signed record. Do not use SyncNet for, and do not publish:</p>
<ul>
<li>fraud, scams or phishing, including tokens launched to mislead or defraud;</li>
<li>impersonation of a person, project, brand or SyncNet;</li>
<li>malicious links, malware or wallet-draining code;</li>
<li>unlawful content;</li>
<li>content that infringes copyright, trademarks or other rights;</li>
<li>doxxing, or publishing personal data unlawfully;</li>
<li>anything intended to evade sanctions or other legal restrictions;</li>
<li>false claims of endorsement, partnership, affiliation or ownership, including by SyncNet, PAR or another project.</li>
</ul>
<h2>Moderation and suspension</h2>
<p>SyncNet may refuse publication, suspend or stop serving a Project Home, decline to show, index, pin or register content or projects, and remove or stop serving images and other content it hosts or pins, where technically possible, when this is reasonably necessary for security, abuse prevention, legal compliance, the protection of third-party rights or the enforcement of these terms.</p>
<p>A suspension or removal by SyncNet does not transfer the Project Passport, does not change the token or any on-chain contract, and does not cancel the project’s Project Home activation (a reinstated Project Home needs no new fee). It does not in itself entitle anyone to a refund. Content stored on-chain or on IPFS can remain available through other nodes, gateways, explorers and caches even when SyncNet stops serving it.</p>

<h2>Eligibility and sanctions</h2>
<p>You must be legally able to use cryptoasset software where you live and must not be subject to sanctions or located in a sanctioned jurisdiction. You are responsible for determining whether your use of SyncNet and any cryptoasset activity is lawful in your jurisdiction. Nothing on this site is financial, investment, legal or tax advice.</p>
<h2>Your content</h2>
<p>You are responsible for the names, tickers, descriptions, links, images and other content you submit, and you confirm you have the right to publish it. You allow SyncNet to host, display, copy, cache and pin that content as needed to operate SyncNet. Token metadata and IPFS images are public and effectively permanent; SyncNet cannot remove them from the chain or from third-party IPFS nodes.</p>
<h2>Software provided “as is”</h2>
<p>SyncNet is provided “as is” and “as available”, without warranties of any kind. To the maximum extent permitted by law, the SyncNet operators are not liable for losses arising from its use, including failed, delayed or duplicated transactions, third-party contract behaviour (including PAR’s), network or RPC failures, or incorrect third-party data. Nothing in these terms excludes or limits any liability or right that cannot be excluded or limited under applicable law.</p>

<h2>Changes</h2>
<p>SyncNet may update these terms. The date at the top shows the current version.</p>
